A Dutch BV company name can be in any language using the English alphabet. However, you may be required to provide an English or Dutch translation to ensure that the name abides by the rules and regulations. The company name must not be the same as or similar in any way to an existing company name in the Netherlands. It must not be offensive or offending against moral principles.
Directors, Shareholders and Secretary
Director’s names are filed on the public register. A minimum of one director is required for a Dutch BV and there are no restrictions on the nationality or residency of the Directors.
A Dutch BV requires at least one shareholder. If more than one shareholder is appointed, the details of the identity of the individual shareholders are kept private, however a single shareholders name will be shown on the public record. Nominee Shareholders are allowed.
There is no minimum share capital requirement for a Dutch Besloten Vennootschap (BV).
Annual Requirements for your Netherlands Company Registration
It is a requirement that Netherlands government fees are paid annually along with the renewal of the company registered office address – which are included in the CFS annual renewal cost.
A Dutch BV is required to file an annual return and financial statements with the Registrar of Companies. These must be filed on the 31st July each year.
Within six months from its tax year end, a Dutch BV must file a tax return with the Tax Authorities.
If the company meets any two of the following three criteria, a Dutch BV must audit its annual financial statements:
- The average number of employees within the company is less than 49
- The annual turnover of the company is less than 12,000,000 EURO
- The total assets of the company are less than 6,000,000 EURO
