Timescales

Upon receipt of the required documents it takes around 24 hours to setup a company in the Seychelles. As soon as the company has been incorporated, we can begin the process of opening the company Bank Account, which usually takes around 3-5 working days (depending on the Bank and compliance workload). We always try to ensure the whole process is completed as quickly as possible.

Document Requirements

To complete the offshore setup and Bank Account, the document requirements are minimal. The documents used for the offshore setup, can also be used for the Bank Account, however we do require a few additional documents to be able to complete the Bank Account opening.

To complete the company formation, we require the following documents:

  1. Certified copy of Passport or Government Issued Photo ID
  2. Certified copy of a Utility Bill dated within the last 3 months – such as a Gas, Electricity or Water bill (mobile phone bills or mortgage documents are not accepted)
  3. Due Diligence Form – we will provide this form to you, it should be completed, signed and returned to us by email

In addition to the above documents, we also require the following documents for the Bank Account:

  1. Bank Reference Letter (dated within the last 6 months and contains the account opening date)

OR

  1. A Bank Statement dated within the last 3 months showing recent transactions AND a Bank Statement showing transactions which are older than 6 months
  2. If the trading address differs from the Directors residential address, we will require a Utility Bill showing the trading address – this could be a Gas/Electricity Bill or lease/rental agreement
  3. Two Documents to be signed by the Director – we will provide these documents to you, to sign and return to us by email

To begin the process, we require documents 1-3 to be sent to us by email. Whilst we are in the process of forming the company, you can begin collating the remaining documents.

Please note that if nominees are being used within the Seychelles Company, further documents may be required and there will also be further charges to obtain the required documents from the nominee.

Requirements to setup a Seychelles Company

When choosing a name for a Seychelles company formation, you must ensure all words are in English. The name must end with a word, phrase or abbreviation that indicates limited liability such as Limited (LTD) or Corporation (Corp).

A Seychelles Company should have at least 1 Director and 1 Shareholder, which can be the same person and can be a corporate appointment. The standard share capital within a Seychelles Company is 100,000 Shares of 1.00USD

The main reason a Seychelles Company is one of the top locations to incorporate in, is because of the high level of privacy which is available. The Directors register is filed with the authorities, although this is not available for public inspection, no further details are recorded with the authorities in the Seychelles.

The structure of a Seychelles Company is flexible, allowing either corporate or individual appointments, nominees are also available. There is no requirement for the owners to have a physical presence or address in the Seychelles. The only requirement in the Seychelles is the Registered Agent and Registered Office, which is included within our package.

Annual Requirements for a Seychelles Company

A Seychelles IBC is not required to submit any financial reports, there is also no requirement to file accounts, a company annual return and there is no mandatory audit requirements. Government fees must be paid annually, although these remain one the lowest in comparison to other locations. The company should maintain a registered office and agent in the Seychelles, both of these are included in the CFS annual renewal cost.
