Tax Information for your Barcelona Company Registration
If you want to setup a Barcelona company formation and are not residing within the country, you will need a Tax Identification Number (Numero de Identificacion de Extranjero - NIE). This is a necessity for undergoing any commercial activity in mainland Spain, it is also used for paying taxes and/or buying property and land. The company will require a Community Registration Certificate. This is document is to prove that you are registered on the city’s official ‘roll’.
A CIF (Certificado de Identificación Fiscal) number is also essential for conducting business in Spain. It is used as a Tax Identification number for businesses, consists of eight numbers and can be used to identify what type of formation your company is.
You may also need to pay Tax and Economic Activities if you are to undertake any commercial activities through your company.
When starting a Barcelona company formation, a CNN (Certificacion negativa de la denominacion social) is needed- which is a document that is used to certify that your proposed company name is unique. Once it has been verified you will receive a Negative Name Certificate.
It is illegal to include an abbreviation within the company name, and it will be rejected when applying.
The Barcelona company formation name must not be misleading in regards to the business activities and must end in the appropriate legal suffix.
For example SA or SL.
Directors, Shareholders and Secretary
In a Barcelona Private Limited Company (SL) the minimum number of directors is three, with a maximum of twelve.
In a Barcelona Public Ltd Corporation (SA) the minimum number directors is three, with no maximum.
Directors of a Barcelona Company registration do not need to be Spanish citizens by law. There must be a minimum of 1 shareholders for both SL and SA company’s.
Shareholders within a Barcelona company formation are entitled to:
- The right to share earnings/assets if the company were to go into liquidation
- Preferential rights to new shares obtained
- The right to attend any and all shareholder meetings at the Registered Office address
- The required minimum amount of shares in accordance to Spanish legislature
The minimum share capital for a Barcelona Corporation (SA) is 60,000 EUR. A minimum of 25% must be paid up.
Stocks can be listed on the Stock Market and transfers of shares can be distributed freely.
The minimum share capital for a Barcelona Limited Liability Company (SL) is 3,000 EUR.
Stocks cannot be listed on the Stock Market and any transfers of shares must be publicly documented.
Annual Requirements for your Barcelona Company Registration
Both SA and SL Incorporations are governed under the Capital Companies Law, which means that the companies’ bylaws have to be within accordance to this legislature.
All Ordinary shareholder meetings must be held at the companies Registered Office address. All voting requirements must be discussed and reviewed within these meetings.
Barcelona SA Companies are required to file end-of-year reports detailing profits, loss accounts, a balance sheet, a company status report and liquid and non-liquid assets.
This documentation has to be drafted in accordance to both PGC and Companies Registry. Smaller companies are still required to file a reduced amount of Annual Accounts. It is recommended that the Directors draw up their accounts three months before the due date, so that they can be reviewed within a Shareholders meeting.
Barcelona SL Companies do not usually require accounts.

On a yearly basis a Barcelona Company must renew their Registered Office Service.

All companies in Barcelona are required to submit annual accounts and annual books to the Registry. Once a year the company is also required to present company tax, the full rate of company tax in Spain is 30%.
