Belize is a country that is located on the eastern coast of Central America. It is the only country in Central America whose official language is English.
Belize (formerly called British Honduras) since independence from Britain in 1981, had an extremely stable and democratic government.

The information for a Manager and Member is kept confidential, and the information on Managers and members is not filed with the Belize Company Registrar. Therefore, the information will not be made available to the public and will not be shown on any public documents.
A Belize company formation attracts many business owners due to its flexibility; only one Manager and one Member is required. The Manager and Member have no requirements to have a physical address in Belize and can reside anywhere in the world. A Belize company has to maintain a registered office address and registered agent in Belize. Most registered agents offer the address as standard.
Due to the flexibility of a Belize Company Formation, it can be incorporated for a number of different reasons and business activities. A Belize Company Formation has features protecting the owners of the company and is not subject to any reporting requirements.
Accounting Records
The new Accounting Records Maintenance Act has now come into force in Belize.
Each Belize company must provide accounting records annually.
Accounting records are defined as transactions in respect of the company’s assets and liabilities, receipts and expenditures, and any other transactions they conduct. This could include:
- Bank Statements
- Receipts
- Invoices
- Vouchers
- Title Documents
- Contracts and Agreements
- Ledgers
- Any other documentation underpinning a transaction
An affidavit (CFS will provide a template) is required to be signed and witnessed by a notary public and must be accompanied by the financial statements.
If the company is dormant, the affidavit will need to be accompanied by a nil balance sheet and a letter with the company’s letterhead stating that the company is dormant and has not generated any revenue during the accounting period.
If the company is holding assets, a balance sheet will need to be provided that reflects the value of the asset that the company holds and also be accompanied by the affidavit.

It is the Manager's responsibility to ensure the records are kept with the registered office.
If a company fails to be compliant, it will result in the Financial Services Commission taking enforcement measures against the company.
Tax Information for your Belize Company Registration
A great benefit to a Belize Company Formation is that it is exempt from all local taxes if the company is not trading in Belize. Exemption includes: income tax, dividend tax, capital gain tax, and stamp duty on the transfers of corporate properties and shares.
Company Name
When choosing a name for a Belize company formation, you must ensure all words are in English. The name must end with a word, phrase or abbreviation such as Limited Liability Company (LLC).
Managers and Members
For a standard Belize company formation, a minimum of one Manager and one Member is required. They can be the same person, allowing you to have a ‘one man’ company. They do not need to reside in Belize and can be any nationality. Officers of a Belize Company can also be corporate bodies.
All managers and members should be at least 18 years old.
Please note that if the company has a complex corporate structure, an additional compliance fee may apply.
Annual Requirements
For a Belize company registration, annual requirements are minimal.
There is no requirement to file accounts.
The government fees must be paid annually and are included in the CFS annual renewal fees.
Also included in the renewal fees is the renewal of the Registered Office and Registered Agent.
There is no requirement to file financial reports, and there are no mandatory audit requirements for a company in Belize.
However, all Belize Companies are required to provide accounting records on an annual basis. These must be kept by the registered agent in Belize.

Due Diligence Documents:
To comply with Money Laundering regulations, CFS Formations are required to collect Due Diligence documents for officers within your company.
For a Belize Incorporation, we would require the following documents provided as email copies:
- Certified Copy of a Passport
- Certified Copy of a Utility Bill e.g., Gas / Electrical or Bank Statement (dated within the last 3 months)
- Selfie

Will I receive a certificate of incorporation when my company is formed?
Yes, when your company has been incorporated, you will receive this via email and also a hard copy.
Is a visit required to incorporate my company?
No, this can all be done online and via email. Just fill out an online order form, and you will have a dedicated accounts manager who will help you through the process.
